1. Episode summary
In December 1989, Saab-Scania's automobile division was restructured as Saab Automobile AB, with General Motors acquiring fifty per cent for roughly US$600 million and an option over the remainder. The stated rationale on both sides was complementary: Saab would gain access to GM's dealer network and component scale to service its loss-making US-centred sales base, while GM would gain a foothold in the European premium segment then dominated by the German three. GM exercised its option and took full ownership in 2000 for a further US$125 million, making Saab a wholly-owned subsidiary. Across the twenty-one-year ownership period, annual production remained around 125,000 units, well short of the 400,000–600,000 volumes at which BMW, Mercedes-Benz and Audi operated, and Saab posted operating losses in nearly every year, with brief profits recorded in 1994, 1995 and 2001. GM's product strategy leaned increasingly on shared platforms — the 9-3 on Epsilon, the 9-5 on Epsilon II, and the 9-2X and 9-7X as badge-engineered Subaru and Chevrolet derivatives — aiming to amortise development cost against Opel and other GM volumes. When GM itself entered US Chapter 11 in 2009, Saab was placed on a "non-core" disposal list. A Koenigsegg-led bid collapsed in November 2009; Spyker Cars completed the purchase in February 2010 for US$74 million cash and US$326 million in shares. 3. OTA narrative
Observe. The observation apparatus available to GM and to Saab's management was adequate throughout the ownership period, and the signals were produced. Saab's financial losses were visible in every annual report; the volume–price mismatch against BMW, Mercedes-Benz and Audi was a recurring trade-press theme from the mid-1990s onward; the dependency on GM components for engineering and new-product development was explicitly disclosed. The US sales decline that had first triggered the 1989 sale was documented; the erosion of the Saab-distinctiveness premium as platform-sharing deepened was visible in contemporaneous reviews of the 2003 9-3 and the 2005 badge-engineered 9-2X and 9-7X. For a reasonably-resourced incumbent of GM's scale, observing that Saab was sub-scale relative to its positioning peers was routine. That reasoning was wrong because the two paths to premium-brand viability — either genuine scale on the order of 400,000-plus annual units, or genuine product distinctiveness that would support Audi-level pricing power — were mutually undermining under the chosen strategy, and neither was delivered. Within GM's senior management, Saab's cultural standing was marginal. Bob Lutz, who oversaw global product development from 2001 onward, described having long pushed to "get rid of Saab" as a "goofy brand off the mainstream" — a characterisation that signals the cultural status of Saab within the GM product-development hierarchy and helps explain why the brand received badge-engineered derivatives rather than platform investment (SaabPlanet, "The Unseen Reasons Behind Saab's Exit," §2 Secondary 6). Spyker's management and Saab's Swedish workforce engaged in a recapitalisation effort that generated genuine momentum with Chinese investors, yet proceeded as though the ATLA veto were a negotiating variable rather than a contractual barrier GM had consistently enforced.
